Rocquant LLC is not registered as a broker-dealer or investment adviser with the U.S. Securities and Exchange Commission or any state securities regulator.

TO THE FULL EXTENT PERMITTED BY APPLICABLE LAW, ROCQUANT AND ITS RESPECTIVE OFFICERS, DIRECTORS, PRINCIPALS, AGENTS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY CLAIMS, LIABILITIES, LOSSES, COSTS, OR DAMAGES, INCLUDING DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN ANY WAY CONNECTED WITH (I) THE USE OF OR INABILITY TO USE THE SITE OR WITH ANY DELAY IN USING THE SITE, OR (II) ANY INFORMATION AND MATERIALS OBTAINED THROUGH THE SITE, OR (III) OTHERWISE ARISING OUT OF THE ACCESS AND/OR USE OF THE SITE IN ANY CASE, WHETHER BASED ON THEORIES ARISING IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE. You agree to indemnify, defend, and hold harmless Rocquant and its officers, principals, agents, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with your access to or misuse of the Site or your violation of these Terms and Conditions.

7. Governing Law, Binding Arbitration & Class Action Waiver

These Terms and Conditions are governed by the laws of the State of New Mexico, without reference to their conflicts of laws provisions. To the extent permitted by applicable law, you agree that all disputes arising out of or relating to the use of the Site (each, a “Dispute”), except for intellectual property disputes or claims where the sole form of relief sought is injunctive relief, shall be resolved by confidential, binding arbitration in the State of New Mexico administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction. Any arbitration or permitted court proceeding under these Terms and Conditions will take place on an individual basis — class arbitrations, class actions, and consolidated or representative proceedings are not permitted. You understand that by agreeing to these Terms and Conditions, you and Rocquant are each waiving the right to trial by jury or to participate in a class action or class arbitration. If the arbitration provisions are found unenforceable or inapplicable to a given dispute, then the proceeding must be brought exclusively in a state or federal court of competent jurisdiction located in the State of New Mexico, U.S.A., and you hereby accept the exclusive jurisdiction of such courts.

8. Miscellaneous

If any provision of these Terms and Conditions is held to be invalid or unenforceable in any jurisdiction, such provision shall be deemed modified to the minimum extent necessary so that such provision shall no longer be held to be invalid or unenforceable, and these Terms and Conditions shall be interpreted so as to achieve the intent expressed herein to the greatest extent possible in the jurisdiction in question. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The Site is operated by Rocquant in the United States. Those who choose to access the Site from locations outside the United States do so at their own initiative and are responsible for compliance with applicable local laws.

“ROCQUANT” and related marks, images and symbols are the exclusive properties of Rocquant LLC.
